From Wednesday, 28 October all New Zealand companies must have at least one director who lives in New Zealand, or alternatively at least one who lives in Australia who is also a director of an Australian registered company.
Action to Take
If your company doesn’t have a New-Zealand based director you will need to urgently appoint one who lives in New Zealand or Australia.
Extra Information
There is also additional information about directors you will need to provide when filing Companies Office annual returns.
The following information is now required by the Companies Office:-
Name of director.
Home address of each director.
Date and place of birth of each director (these will not be publicly available).
for any Australian-based directors, provide the name, address and Australian Company Number (ACN) of their Australian company.
Ultimate Holding Company (UHC)
If your company is controlled by a registered company whether through shareholding or by other means eg in control of the makeup of the company’s board of directors, then the controlling company is a UHC and details of that company also need to be provided to the Companies Office at annual return filing time.
A company owned by a family trust does not count as an “ultimate holding company”.
